Cade approves association of Dreyfus, Amaggi, Cargill and others in freight company

The Administrative Council for Economic Defense (Cade) approved, without restrictions, the association between Louis Dreyfus Company (LDC), Amaggi Exportação e Importação, Sartco, Cargill Agrícola and Dalablog Participações in the companies Carguero Inovação Logística e Serviços and Green Net Administradora de Cartão.

Carguero, originally a joint venture owned by Dreyfus and Amaggi, each with a 50% share, acts as an intermediary for road freight via a digital platform.

Green Net, on the other hand, is a company almost entirely owned by Dalablog and offers electronic freight and toll payment services.

Through the investment agreement, the new investors will, together with the original ones, be shareholders of Carguero, which, in turn, will hold 100% of Green Net’s shares, Cade said in a note this Wednesday (23). ).

“According to the companies, the deal is an opportunity to give greater strength to Carguero’s operations, allowing greater investments in technology and in the development of tools”, said Cade.

Dreyfus, Amaggi, Cargill and Sartco operate in the market of origination of various grains and agricultural products and commercialization of commodities, and logistics are fundamental in the business.

In December 2021, CADE’s General Superintendence had approved the operation without restrictions and, days later, the National Confederation of Autonomous Transporters (CNTA), a third party interested in the merger, filed an appeal against the decision.

The case, then, was taken to the Court of the Council, under the rapporteurship of the counselor Sérgio Ravagnani.

In his vote, the rapporteur concluded that the operation does not generate anti-competitive effects. The understanding was followed by Cade’s Administrative Court, which dismissed the appeal and maintained the decision for the unrestricted approval of the transaction.
