Cade’s Superintendence approves Camil’s purchase of Mabel biscuit factories

The General Superintendence of the Administrative Council for Economic Defense (Cade) approved, without restrictions, the acquisition of Cipa Industrial de Produtos Alimentares and Cipa Nordeste Industrial de Produtos Alimentares, owners of the Mabel brand and currently owned by Pepsico, by Camil Alimentos.

The approved process also includes the purchase, by Camil, of the right to use the Toddy brand in cookies.

The endorsement is published in the Official Gazette (DOU).

When the announcement last month, the companies reported that the deal involves, in addition to Mabel, the acquisition of companies that hold the manufacture of cookies under the brands Doce Vida, Mirabel, Elbi’s and Pavesino.

Also part of the transaction are the industrial units of Aparecida de Goiânia (GO) and Itaporanga D’Ajuda (SE), operated by approximately 800 employees.

The transaction also provides for the licensing, by Pepsico, to Camil of the Toddy brand for cookies for a period of 10 years, and the acquisition of the assets that make up the production line of the Toddy brand for cookies.

“As a justification for carrying out the operation, the applicants explain that, for the Camil Group, the acquisition reinforces its strategy of geographic expansion for growth in regions complementary to current operations, as well as includes in its portfolio high value-added products, with synergies linked to the your business model. For the Pepsico Group, the operation represents a good opportunity to direct resources and efforts to the growth and expansion of its main lines of business, focusing on its key activities in the food sector”, cites an opinion on the deal published by Cade.
