Carrefour Brasil said on Tuesday (7) it had approved the convening of a shareholders’ meeting to elect new members to the board of directors and update governance standards, as a new shareholders’ agreement was signed between French group Carrefour and Península, Abílio Diniz’s investment company.
If the proposed changes are approved, Alexandre Bompard will become the chairman of the board of Carrefour Brasil and Abílio Diniz will be the vice president, said the company in a relevant fact to the market.
Bompard is not part of the current composition of the collegiate, while Abílio already occupies a seat.
Bompard is chairman of the board of directors and chief executive of French Carrefour. Diniz already holds a stake in the company through the Peninsula.
Both Carrefour, also through Carrefour Nederland BV, and a Peninsula fund, signed the new shareholders’ agreement to strengthen the company’s governance standards, the retailer said.
The move comes as Carrefour Brasil completes the acquisition of Grupo BIG, almost a year after the announcement of the deal worth around R$7.5 billion.
Carrefour Brasil said the acquisition gave the company a market share greater than twice that of its closest rival, as well as a presence in all regions of the country.
