The Competition Commission announces that on January 31, 2022 the procedure of full investigation was initiated, according to the provisions of article 8 par. 4 of law 3959/2011, of the concentration notified from 1/10/2021 regarding the acquisition by the company under the name “Delivery Hero SE” exclusive control over the companies “Alfa Distributions SA”, “Inkat SA”, “Delivery.gr IKE” and “E-table Restaurant Reservations via Internet IKE Sole Proprietor”.
Berlin-based Delivery Hero SE is the parent company of a group mainly engaged in the provision of online ordering and food distribution services in more than 40 countries. Its subsidiaries in Greece include the company “Online Delivery SA”, which operates the online ordering platform “efood”, through which consumers connect with restaurants, supermarkets, convenience stores and other local stores, as well as the company ” Delivery Hero Dmart Greece SA “, which operates the online convenience store” efood market “.
Regarding the acquired: (a) “Alfa Distributions SA.” is active in the wholesale market of supermarket goods; (b) Inkat SA in the wholesale and, mainly, the retail sale of groceries through the “kiosky’s” convenience stores; .gr “, which provides online mediation services for orders from restaurants, supermarkets, convenience stores and other local stores; and (d)” E-table Online Restaurant Reservations IKE Single Person “provides online mediation services for reservations in restaurants, through the “e-table” service.
Based on the preliminary assessment of the concentration, the Competition Commission (EA) estimates that the new entity will have a particularly important position in the online brokerage market for the sale of ready-to-eat food, as well as in the individual online brokerage markets for consumer products (consumer goods). markets, on the one hand, and grocery products and local specialty stores, on the other). Therefore, at this stage, serious doubts are raised as to the possible horizontal effects of uncoordinated behavior on these relevant markets.

In the course of the full investigation, EA will examine whether its doubts as to the compatibility of the concentration with the operating requirements of the competition in the individual markets to which it relates are confirmed. The decision of the EA on the merger will be issued within ninety (90) days from the date of initiation of the full investigation process. The initiation of the full investigation process does not prejudge the final result of the evaluation.
