Competition Commission: Veto in the deal with Mouchalis due to efood and e-table

Recommendation for the non-approval of the acquisition by Delivery Hero (the group to which efood belongs) of the companies of the Mouchalis group, ie Alpha Distributions, INKAT SA of Delivery.gr as well as the E-table was issued by the Competition Committee, in view of the examination of the issue in the Plenary on Thursday, April 14th. The issue with the Competition Commission is that efood, which it owns, can create a blockchain or bulk sales policy by offering distribution services, in which it already has a strong market position, in conjunction with online booking services in restaurants provided by the acquired e-table.

According to market sources familiar with the matter, with whom he contacted Capital.gr this suggestion from the Commission’s Competition Directorate is not binding on the Plenary. Therefore, at its meeting on 14 April, it is not ruled out that a different decision may emerge in relation to this proposal. At the same time, in the event of a negative decision for the acquisition of the above companies by the Mouchalis group by Delivery Hero, the acquiring party will most likely be called upon in this case to make either changes to the content of the agreement, possibly leaving out any of the aforementioned companies. there will be no competition issue, or it will be called upon to make specific commitments on how it will operate, which will ensure the smooth operation of the market.

Based on the reasoning of the Competition Commission’s recommendation, it is considered that “there are potential cumulative effects of uncoordinated behavior from the combination of the new entity’s significant activities in the online brokerage market for online restaurant booking in the e-platform and e-platform It is estimated that the merged entity will have both the capacity and the incentive to pursue a committed or group sales policy by offering online brokerage services for the sale of ready meals. already has a strong market position, together with online restaurant reservation services, reducing the ability or incentives of its competitors in the online restaurant reservation market to compete effectively “.

Who is Delivery Hero and what has it agreed to acquire

It is noted that Delivery Hero SE is the parent company of a group that is active in the provision of online ordering and food distribution services in more than 40 countries, including Greece. Its subsidiaries in Greece include the company Online Delivery SA (efood). It also includes Delivery Hero Dmart Greece SA, which operates the online convenience store “efood market”.
