Ellaktor: On 25/8 the EGM for the transfer of 75% of the RES sector

Extraordinary General Meeting of the shareholders of Ellactor S.A. will take place on August 25, Thursday, with the object, among other things, of the approval of the transaction for the transfer from the company of 75% of the Renewable Energy Sources sector, to “MOTOR OIL RENEWABLE ENERGY MONOPROSSOPI S.A.”

In particular, as the company notes in a relevant announcement, Mr. Shareholders in an Extraordinary General Meeting, which will meet on August 25, 2022, Thursday at 11:00 a.m.

AGENDA:

1. Approval of the transaction for the transfer from the Company of 75% of the Renewable Energy Sources sector, to the company with the name “MOTOR OIL RENEWABLE ENERGY MONOPROSSOPI S.A.”.

2. Redefining the Audit Committee (type, composition, number, status of members and tenure), in accordance with article 44 of Law 44449/2017, as applicable.

3. Miscellaneous Notices.

In the event that the quorum required by the Law is not reached and for this reason it is not possible to take decisions on all or any of the items on the agenda, the possible Repetitive General Assembly will convene on 05.09.2022, at 11 a.m. :00 am in the same way and with these topics (not discussed) of the original agenda, without publication of a new invitation, in accordance with par. 2 of article 130 of Law 4548/2018.

It is noted that the Board of Directors, in the context of taking preventive measures to limit the spread of COVID-19 and with the aim of protecting the shareholders, employees of the Company and the public in general to avoid infection of those present due to the large number of people gathered, on the other hand ensuring the continuity of business operations at its headquarters, decided in accordance with paragraph 3 of article 120 of Law 4548/2018 as applicable, the Extraordinary General Assembly as well as any Repetitive to be conducted exclusively by electronic means, without the physical presence of the shareholderswho will have the possibility to participate in it and exercise their rights remotely, in real time, via teleconference, in person or through a representative, in accordance with the provisions of article 125 of Law 4548/2018 as applicable and procedures defined in this Invitation.
