Members of the federal government take for granted the approval of the names nominated by the Union to compose Petrobras’ Board of Directors, including the two that had been rejected by the company’s Eligibility Committee. The topic is on the agenda of the company’s Extraordinary General Meeting, which takes place this Friday (19).
Confidence would not be based solely on mathematics, according to sources heard by CNN. As the majority shareholder of the oil company, the government has a majority of votes to approve the names. What has reinforced the thesis of approval of the nominees are documents produced by the Comptroller General of the Union (CGU) and by an auditing company hired by Petrobras itself.
Both opinions support President Jair Bolsonaro’s (PL) decision to appoint the Attorney General of the National Treasury, Ricardo Soriano, and the Executive Secretary of the Civil House, Jonathas Assunção, to fill vacancies on the company’s Board of Directors.
Both documents make it clear that there is no conflict of interest in the nominations. As for the other names, there was no rejection.
The CGU analyzed the case at the request of the Presidency of the Republic. The ministry concluded that the two servers meet the requirements set out in the Petrobras Statute and that the appointments do not represent any risk to the Union.
In the case of Jonathas Assunção, the questioning would be the fact that he occupies a position of a political nature. The Petrobras committee that evaluated the name claimed last month that, in this position, the public servant could neglect the defense of the company’s interests, to the detriment of the government’s political positions.
As for Ricardo Soriano, the justification for guiding that nomination be rejected is because he occupies a role responsible for defending the interests of the Union. And, according to the Petrobras committee, it would be foolhardy for the National Treasury attorney to be on both sides of the table in cases in which the company and the federal government differ.
The opinion prepared by the auditors hired by Petrobras, precisely to support the decisions of the committee that vetoed the names, follows the same line as the CGU document. “In other words, there was technical guidance in favor of nominations, but the members of the sector that evaluates the names decided to act differently. This reinforces that the government is right”, pointed out a source.
Last week, the Minister of Mines and Energy, Adolfo Sachsida, confirmed in an exclusive interview with CNN analyst Renata Agostini that the government would maintain the nominations for the Council. He explained that the changes in Petrobras’ management have the main objective of increasing the company’s competitiveness.
On the occasion, Sachsida guaranteed that the government has no intention of intervening in fuel price policy, for example. But, within the context of making Petrobras more competitive, he understands that he needs managers willing to accelerate the process of selling refineries and prepare the company so that it can be privatized within 3 or 4 years.
