The company INTEAL Group announces, as a result of a notification received by the company on 10.11.2021, from Mr. Lambros Papakonstantinou and the Cypriot company Virtueco Limited, on behalf of itself and the other legal entities mentioned below, that the investment capital Virtus South European Fund a shareholder of the company proceeded as follows:
1. On 5.11.2021 it transferred, outside the regulated market and without payment, 1,873,331 shares of the Company to its shareholder investors, due to the cessation of its operation (of VSEF) and the distribution of its assets, which include shares of the Company, to its shareholder investors, in proportion to their participation in it, with the consequence that its percentage drops from 34.69% of the total shares and voting rights of the Company to 28.74%.
2. On 8.11.2021, it transferred, out of a regulated market and without payment, 2,481,468 shares of the Company to its shareholder investors, due to the cessation of its operation (of VSEF) and the distribution of its assets, which include shares of the Company, to its shareholder investors, in proportion to their participation in it, with the consequence that its percentage drops from 28.74% of the total shares and voting rights of the Company to 20.86%.
As a result of the above, the indirect participation of the private fund management company Virtus International Partners LP (hereinafter “VIP”), based in the Cayman Islands, in the voting rights of the Company, which participation exists under Article 10 para. (h) of Law 3556/2007, as the VIP may, by virtue of a management contract, exercise these voting rights at its discretion and without specific instructions from the VSEF.
Mr. Lambros Papakonstantinou, through the intermediary companies Papco based in the Cayman Islands and Virtueco Limited based in Cyprus, is the ultimate auditor of VIP, within the meaning of article 10 per. (E) of Law 3556/2007. indirect participation of which in the above voting rights, decreased respectively.
Thus, the Chairman of the Board of Directors of the Company, Mr. Lambros Papakonstantinou, who exercises control, within the meaning of article 10 per. (E) of Law 3556/2007 on VIP, on 5.11.2021, indirectly exercised control on 9,045,857 voting rights of the Company, corresponding to 28.74% of its total voting rights and today it now indirectly exercises control over 6,564,389 voting rights of the Company, corresponding to 20.86% of its total voting rights.
The notification of the above is made under the aforementioned provisions of articles 9 and 10 of Law 3556/2007 as well as article 19 par. 1 of Regulation 596/2014, due to the fact that VSEF is a person who has close ties within the meaning of article 3 par. 1 per. (26) of the above Regulation with Mr. Lambros Papakonstantinou, Chairman of the Board of Directors and a person exercising managerial duties in the Company.
