Intralot announced today the cut-off date and the period of exercising and trading the pre-emptive rights within the AMK.
As the company states in a relevant announcement, as date of exclusion of the pre-emptive right in the Increase is set to 01.07.2022 (the “Cut-off Date”).
From the Cut-off Date, the existing shares of the Company will be traded on the Athens Stock Exchange (the “ATHEX”) without the right to participate in the Increase and the starting price of the existing common, registered, after voting shares of the Company on the ATHEX . will be formed in accordance with the ATHEX Regulations, in combination with no. 26 decision of the ATHEX Board of Directors, as in force.
Procedure for exercising a pre-emptive right
The following have the right of preference for the acquisition of the New Shares in the Increase:
i. all the shareholders of the Company, who will be registered in the Intangible Securities System (DSS) of EL.K.AT, on the date of identification of beneficiaries (record date) according to article 5.2 of Regulation X. A., ie on 04.07.2022, if they retain these rights at the time of their exercise, and
ii. those who acquire pre-emptive rights during the trading period of these rights on the ATHEX.
The above mentioned persons under (i) and (ii) will be entitled to exercise preference rights in the New Shares with a ratio of 1.4999665907674 New Shares for each old share of the Company.
According to the decision of the Board of Directors of the Company dated 21.06.2022, the Offering Price may be higher than the stock market price at the time of the cut-off of the pre-emptive right in accordance with the provisions of the ATHEX Regulations.
The time period for exercising the pre-emptive rights is defined from 06.07.2022 until 21.07.2022.
The commencement of trading of the rights in the electronic trading system of the Athens Stock Exchange coincides with the commencement of their exercise period.
It is pointed out that the trading of the rights will not be possible in the last three (3) working days before the end of their exercise. The end of the trading of the rights in the electronic trading system of the Athens Stock Exchange is defined as the end of the session of 18.07.2022.
