Intralot: The Prospectus is available to the public – the expected schedule

The Prospectus approved on 23.06.2022 by the Board of Directors of the Hellenic Capital Market Commission makes available to the investing public from today INTRALOT.

The Prospectus concerns the public offer 222,800,215 new, common, intangible, registered, after-voting shares, with a nominal value of € 0.30 each (hereinafter the “New Shares”), which will be issued by the Company in the context of the increase of its share capital by cash payment and pre-emptive right of the existing shareholders, with a ratio of 1,4999665907674 New Shares for each old share of the Company (hereinafter the “Increase”) and a sale price of € 0.58 for each New Share, which will be admitted to trading on the Regulated Market Athens Stock Exchange (hereinafter the “ATHEX”), based on the decision of 21.06.2022 of the Board of Directors of the Company, in accordance with the provision of article 24 par. 1 (b) of Law 4548/2018, as in force, and by virtue of the power provided to the Board of Directors by the Extraordinary General Meeting of the Company’s shareholders of 23.05.2022.

Information regarding the process of exercising the pre-emptive rights and the pre-subscription right by the investors is presented in section 13.3 “Procedure for exercising the pre-emptive rights and the Pre-subscription Right” of the Prospectus.

The expected timing of the completion of the Increase and the listing of the New Shares is as follows:

It is noted that the above schedule depends on many unbalanced factors and may change. In any case, the investing public will be informed with a relevant announcement of the Company.

The Prospectus, as approved by the Board of Directors of the Hellenic Capital Market Commission on 23.06.2022, will be available to the investing public, in accordance with article 21 par. 2 of Regulation (EU) 2017/1129, as in force, in electronic form on the following websites:
