Mytilineos SA announces that with the decision of 28.01.2022 of the Board of Directors of the company it was unanimously decided to provide the special license required according to articles 99 to 101 of Law 4548/2018, for the conclusion of a share purchase agreement between the company as buyer and the company “Egnatia Group Societe Anonyme” as a seller, with the aim of acquiring by Mytilineos companies that have licenses for photovoltaic power plants with a total capacity of approximately 1513.4MW.
The transaction is part of the investment program of Mytilineos that has been announced from 16.02.2021 and is implemented in the framework of its strategic planning for the significant expansion of its presence in Renewable Energy Sources (RES) projects in Greece and worldwide, in alignment. with the ESG commitments and ambitious targets set to reduce total direct and indirect carbon dioxide (CO2) emissions by at least 30% by 2030 and to achieve a neutral carbon footprint by 2050.
The “Egnatia Group Societe Anonyme”, which will be contracted in the above contract with the company, is an affiliated party with the company, within the meaning of the provisions of article 99 par. 2 (a) of Law 4548/2018. Pursuant to article 101 par. 1 of Law 4548/2018, the above decision of the Board of Directors of the company was taken based on the evaluation report of 20.01.2022 of Antonios Prokopidis, certified public accountant (Reg. SOEL 14511) of the auditing company “PKF Euro-auditing SA”, which considered that this transaction is fair and reasonable for the company and its non-affiliated shareholders, including the minority shareholders of the company.
The minutes of the decision of the Board of Directors of the company dated 28.01.2022 and the above evaluation report according to article 101 par. 1 of Law 4548/2018 have been registered in the General Commercial Register (G.E.M.I.) and the prescribed formalities will be followed and procedures of Law 4548/2018.
