Quest: Covers the AMK of G.E. Dimitriou

The company Quest informs that based on the no. 146/2002 decision of the Multi-member Court of First Instance of Athens, the application of the company G.E. was accepted from 31/03/2021. Dimitrios on the immediate ratification of the reorganization agreement and the reorganization agreement between GED and its creditors was ratified from 30/03/2021.

The Board of Directors of the Company was informed about the Extraordinary General Meeting of the shareholders of G.E. convened on 18/7/2022. Dimitriou, in implementation of the reorganization agreement and in particular, article 7 thereof, which decided, among other things, to increase the company’s Share Capital by the amount of €5,000,000 with the issuance of 125,000,000 shares with a nominal value of €0.04 each one.

Furthermore, it was informed that the reorganization agreement stipulates that the company undertakes, in accordance with the terms of the reorganization agreement, the obligation to cover the entire increase in the share capital of the company “G.E. DIMITRIOU ANONYMI EMPORIKI ETERIA”, within 6 months from validation of the consolidation agreement by the competent Court, as well as that in the increase of the share capital of “G.E. DIMITRIOU ANONYMI EMPORIKI ETEIREIA”, the old shareholders will participate in the increase up to the amount of €210,239.16.

Following this, the Company informs the investing public that the Board of Directors of our Company has decided to participate in the increase of the share capital of “G.E. DIMITRIOU ANONYMI EMPORIKI ETERIA” with an amount of up to €5,000,000, in accordance with the provisions of the agreement resolution and provided authorizations to executive members of its Board of Directors to carry out the required actions for the implementation of the decision in question.

Also, the Board of Directors decided that the Company should make an announcement to the current shareholders of “G.E. DIMITRIOU ANONYMI EMPORIKI ETERIA” about the intention of our Company (as a future shareholder with a percentage from 95.03% to 99.21%, ), based on the current conditions and the financial data of “G.E. DIMITRIOU COMMERCIAL COMPANY” for a decision of the General Assembly of “G.E. DIMITRIOU COMMERCIAL COMPANY”, in accordance with the provisions of law art. 17 par. 5 of Law 3371/2005, regarding its deletion from the Athens Stock Exchange and, subsequently, submission of a relevant request to the Capital Market Commission.
