Rede D’Or will transfer the management of most of its stake in Qualicorp to the independent manager Prisma Capital for six years, the two companies said on Monday (2nd) night, also announcing the change in the presidency of Qualicorp.
Rede D’Or, Qualicorp’s largest shareholder with around 25.8% of the shares, closed an agreement to transfer to Prisma the management of a stake equivalent to 19.85% of the health plan administrator.
The contract has a duration of six years, starting on January 1st of this year.
“As a manager, Prisma will have discretionary powers to exercise all political and economic rights of the portfolio’s assets, including those related to the reference and long-term minority investment of Rede D’Or in Qualicorp”, said Rede D’ Or.
The health group stated that the purpose of the measure is to establish a professional and discretionary management of participation, seeking the best interests of both companies.
Prisma will manage it through a new company, Prisma Quali Gestão Ativa de Participações SA, wholly owned by Rede D’Or.
The remainder of Rede D’Or’s stake in Qualicorp will remain under the management of the health group, according to the companies.
In addition, the companies announced a restructuring at the top of Qualicorp, including the resignation of Bruno Blatt as CEO. The board of directors elected Elton Hugo Carluci, current commercial, innovation and new business director, to replace him.
Qualicorp also received the resignations of the chairman of the board of directors, Heráclito de Brito Gomes Júnior, and of the members of the collegiate Mauro Teixeira Sampaio and Martha Maria Soares Savedra.
Murilo Ramos Neto, current vice-president of the council, was elected to head the collegiate, while João Mendes de Oliveira Castro, Rodrigo Pavan and Ricardo Saad are the new names that will compose the council.
Director Ana Paula de Medeiros Carracedo also resigned from her position.
