Intrakat, following the notifications from 7/7 of the company STRONGVIEW HOLDINGS LIMITED of Mr. Dimitrios Theodoridis, the company DANECH ESTATE I LTD and the notification of 08/07/2022 of Mr. Petros Suretis and of the 8/7./ 2022 notifications of the company ΒLUE SILK, the company WINEX INVESTMENTS LIMITED, Mr. Konstantinos Angelos, the company MARBELLA INVESTMENTS INC. and of the company CASTELLANO PROPERTIES LIMITED, regarding their voting rights on the Company’s shares, announces the following changes on the voting rights on the Company’s shares:
On 07/05/2022 VOICECOLOUR INVESTMENTS LIMITEDwhich is legally established and operates in accordance with the law of the Republic of Cyprus and is controlled by the company under the name STRONGVIEW HOLDINGS LIMITEDtransferred 3,000,000 common registered shares corresponding to a percentage 3.997% on all the shares, after voting rights of the Company and STRONGVIEW HOLDINGS LIMITED transferred 5,932,690 shares corresponding to a percentage 7.905% on all the shares, after voting rights of the Company. Following the above, STRONGVIEW HOLDINGS LIMITED does not own shares and voting rights of the Company, against a previous percentage of 11.902% of the total voting rights of the Company, and Mr. Dimitrios Theodoridis directly owns 167,624 common registered shares, which correspond to a percentage of 0.223% on the total voting rights and shares of the Company against a previous percentage of 12.125% on the total voting rights of the Company, which he held directly and indirectly through STRONGVIEW HOLDINGS LIMITED, which he controls.
On 07/05/2022 the company DANECH ESTATE I LTDwhich is legally incorporated and operates in accordance with the law of the Republic of Cyprus, transferred 7,824,069 common registered shares corresponding to a percentage 10.424% on all the shares, after voting rights of the Company. Following the above, DANECH ESTATE I LTD directly owns 82,326 ordinary registered shares corresponding to a percentage 0.110% on all voting rights and shares of the Company, against a previous rate of 10.534% on all voting rights and shares of the Company. DANECH ESTATE I LTD is not controlled by any one person as its shares are held 50% by XAVIER INVESTMENTS SA and 50% by AL MAVA HOLDING SA and decisions are taken jointly. It is also noted that Mr. Loukas Lazarakis, as the sole shareholder, controls XAVIER INVESTMENTS SA, and Mr. Dimosthenis Stasinopoulos, as the sole shareholder, controls AL MAVA HOLDING SA
On 07/05/2022 Mr. Petros Suretis transferred 1,993,846 common registered shares corresponding to a percentage 2.657% on all the shares, after voting rights of the Company and assigned the voting rights on 2,000,000 shares of his ownership, which correspond to a percentage of 2.665% on all the shares, after voting rights of the Company. It is clarified that from the total of 1,993,846 shares with voting rights that were transferred, 93,846 common registered shares, i.e. 0.125% of the Company’s total voting rights, were held in the Common Investment Share (KEM) held by Mr. Petros Suretis with co-beneficiaries are the children of Konstantinos and Athanasia Suretis. Following the above, Mr. Petros Suretis has 656,310 voting rights, i.e. a percentage 0.874% on the total voting rights of the Company, against a previous rate of 6.196% on the total voting rights and shares of the Company.
On 07/05/2022 the company WINEX INVESTMENTS LIMITEDwhich is legally incorporated and operates in accordance with the law of the Republic of Cyprus, acquired 23,795,107 common registered shares corresponding to a percentage of approx. 31.70% on all voting rights and shares of the Company. Following the above, the company WINEX INVESTMENTS LIMITED directly owns 23,795,107 ordinary registered shares, which correspond to a percentage of approximately 31.70% of the total voting rights and shares of the Company, while before this acquisition it did not own any shares or voting rights of Company. It is noted that the shareholders of WINEX INVESTMENTS LIMITED are Mr. Dimitrios Bakos, Mr. Ioannis Kaimenakis and Mr. Alexandros Exarchou, with participation rates of 40%, 40% and 20%, respectively. However, the company WINEX INVESTMENTS LIMITED is not a “controlled company” within the meaning of article 3 par. 1 para. (c) of Law 3556/2007 by the above or other natural or legal persons, nor is the case otherwise (a ) of article 10 of Law 3556/2007 or case (e) of article 2 of Law 3461/2006.
On 07/05/2022 the company BLUE SILK (CY) LTD, which is legally incorporated and operates under the laws of the Republic of Cyprus, which is controlled by Mr. Konstantinos Angelou, acquired 10,234,102 ordinary registered shares corresponding to a percentage 13.63567% on all voting rights and shares of the Company. Following the above, Mr. Konstantinos Angelou indirectly owns, through his controlled company ΒBLUE SILK (CY) LTD, 10,234,102 common registered shares, which correspond to a percentage of 13.63567% of the total voting rights and shares of the Company , while before this acquisition ΒBLUE SILK (CY) LTD and Mr. Konstantinos Angelou did not own shares and voting rights of the Company.
On 07/05/2022 the company MARBELLA INVESTMENTS INC.which is legally incorporated and operates under the laws of the Republic of Liberia, acquired 9,817,915 common registered shares representing a percentage 13% approximately on all voting rights and shares of the Company. Then, on 07/08/2022, the same above company transferred all of the above shares. Following the above, the direct percentage of MARBELLA INVESTMENTS INC. was initially formed on 07/05/2022 at approximately 13% of the total voting rights and shares of the Company, while before this acquisition it did not hold any shares and voting rights of the Company, and then, on 07/08/2022, it was formed into 0% against a previous rate of 13% on all voting rights and shares of the Company.
It is noted that the shareholders of MARBELLA INVESTMENTS INC. are Mr. Ilias Gotsis, Eugenia Gotsis and Rodamanthi Gotsis, with participation rates of 34%, 33% and 33%, respectively. However, the company MARBELLA INVESTMENTS INC is not a “controlled company” within the meaning of article 3 par. 1 para. (c) of Law 3556/2007 by the above or other natural or legal persons, nor is the case otherwise (a ) of article 10 of Law 3556/2007 or case (e) of article 2 of Law 3461/2006.
On 08/07/2022 the company CASTELLANO PROPERTIES LIMITEDwhich is legally incorporated and operates in accordance with the law of the Republic of Cyprus, acquired 9,817,915 common registered shares corresponding to a percentage 13% approximately on all voting rights and shares of the Company. Following the above, the company CASTELLANO PROPERTIES LIMITED directly owns 9,817,915 common registered shares, which correspond to approximately 13% of the total voting rights and shares of the Company, while before this acquisition it did not own shares and voting rights of the Company.
It is noted that the shareholders of the company CASTELLANO PROPERTIES LIMITED are Mr. Ilias Gotsis, Eugenia Gotsis and Rodamanthi Gotsis, with participation rates of 34%, 33% and 33%, respectively. However, the company CASTELLANO PROPERTIES LIMITED is not a “controlled company” within the meaning of article 3 par. 1 para. (c) of Law 3556/2007 by the above or other natural or legal persons, nor is the case otherwise (a ) of article 10 of Law 3556/2007 or case (e) of article 2 of Law 3461/2006.
