MOTOR OIL announces that its 100% Cypriot subsidiary MEDIAMAX HOLDINGS LIMITED has entered into a private agreement with PRIMOS MEDIA Sarl (Luxembourg-based subsidiary of an investment company) on June 29, 2022.
The sale and transfer from MEDIAMAX HOLDINGS LIMITED to PRIMOS MEDIA Sarl was agreed with this private agreement:
• 3,955,780 shares or 50% of the share capital of the Cypriot company NEVINE HOLDINGS LIMITED, owner of 50,00001% of ALPHA SATELLITE TELEVISION SA
Following this transfer, the participation of each of MEDIAMAX HOLDINGS LIMITED and PRIMOS MEDIA Sarl in the share capital of NEVINE HOLDINGS LIMITED is set at 50%.
• 8,571,382 shares or 100% of the Cypriot company MARTIKORIO LIMITED, owner of 24.99999% of ALPHA SATELLITE TELEVISION SA
The total price of the above transactions was agreed at 41,497,425 euros.
The price of 41,497,425 euros was paid in full to MEDIAMAX HOLDINGS LIMITED and the above sale and transfer of the shares of NEVINE HOLDINGS LIMITED and MARTIKORIO LIMITED was completed.
Following the above, the direct and indirect participation of each of MEDIAMAX HOLDINGS LIMITED and PRIMOS MEDIA Sarl in the share capital of ALPHA SATELLITE TELEVISION SA is set at 50%.
